Functions of the Bill of Lading
It fulfills three essential roles in logistics:
- Proof of transportation contract: It is a formal agreement that establishes the conditions of transportation between the shipper (who sends the goods) and the carrier (who will be in charge of moving them). This contract defines the obligations of each party and specifies aspects such as the destination, the type of cargo, the departure date, and the means of transport (maritime, air, land, or multimodal).
- Receipt of the merchandise: When the carrier issues the BoL, it indicates that it has received the cargo in the agreed-upon conditions and is ready to take it to the final destination. It is, in other words, proof that the merchandise is in transit and under the custody of the carrier.
- Document of title: In some BoL modalities, the document functions as a title of ownership. This means that the holder of the BoL has rights over the cargo, which allows the transfer of ownership of the merchandise while it is in transit. This aspect is useful in commercial operations, where goods can be resold before reaching the final destination.
Types of Bill of Lading
There are different types of BoL, each adapted to a particular need or situation in logistics:
- Clean BoL (Clean Bill of Lading): It is issued when the merchandise is in perfect condition and has no visible damage. It is preferred in international transactions, as it guarantees the buyer that the product was dispatched in optimal conditions.
- Dirty BoL: If the carrier notices any damage or irregularity in the merchandise at the time of receiving it, a dirty BoL is issued. This serves as a warning and may be grounds for a claim or adjustment in the value of the cargo.
- Order BoL (Order Bill of Lading): This type allows the transfer of the BoL to a third party through an endorsement. It is common in international transactions, where the consignee can resell the merchandise before it reaches the final destination.
